For laboratory research use only. Not for human or veterinary use.

ORIGIN EOS — TERMS AND CONDITIONS AND PURCHASE AGREEMENT

Last Updated: 23 September 2026

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, INCLUDING STRICT RESTRICTIONS ON THE USE OF THE PRODUCTS, MANDATORY VERIFICATION REQUIREMENTS, DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, INDEMNIFICATION OBLIGATIONS, A BINDING ARBITRATION PROVISION, AND A CLASS ACTION WAIVER. BY CREATING AN ACCOUNT, PLACING AN ORDER, OR PURCHASING ANY PRODUCT FROM ORIGIN EOS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY.

PART I — PURCHASE AGREEMENT

1. Introduction and Acceptance

This Purchase Agreement, together with the Website Terms and Store Policies in Part II (collectively, this “Agreement”), governs access to and use of the Origin EOS website located at https://origineos.com (the “Site”) and the purchase and sale of all products and services offered by Origin EOS, a trade name of Origin Eos LLC (“Origin EOS,” “we,” “us,” or “our”). The customer purchasing or obtaining products is referred to as the “Buyer,” “Customer,” or “you.”

By accessing the Site, creating an account, placing an Order, or otherwise purchasing or obtaining any Material, you affirm that you meet the eligibility requirements of Section 5 and agree to be bound by this Agreement. If you do not agree to this Agreement, you must exit the Site and may not order or obtain any Material. Access to the Site is not permitted without your acceptance of this Agreement.

We may revise this Agreement at any time in our sole discretion by posting an updated version on the Site. Revised terms take effect as of the “Last Updated” date, and your continued use of the Site or placement of Orders after that date constitutes acceptance of the revised terms. For material changes, we may (but are not obligated to) provide notice by email to the address associated with your account.

2. Definitions

For purposes of this Agreement:

  • “Material” means any product and/or service that Buyer purchases or obtains from Origin Eos, including, without limitation, peptides, proteins, amino acid derivatives, liquids, powders, chemicals, reagents, reference materials, labware, and hardware.
  • “Affiliate” means, with respect to Origin Eos, any entity that controls, is controlled by, or is under common control with Origin Eos, and its and their respective owners, members, managers, officers, directors, employees, agents, and representatives.
  • “Qualified Researcher” means a person who is at least twenty-one (21) years of age and who possesses the professional training, technical qualifications, facilities, and equipment necessary to handle, store, and use the Material safely and lawfully for Research Purposes, whether independently or through affiliation with a laboratory, research institution, university, or other research-based organization.
  • “Research Purposes” means bona fide in vitro laboratory research, analytical, and development activities conducted by qualified personnel in an appropriate laboratory setting. Research Purposes expressly exclude any clinical, diagnostic, therapeutic, or human-subject research and any use in or on the human or animal body.
  • “Order” means Buyer’s request to purchase Material submitted through the Site.

3. Research Use Only; No Human or Animal Consumption

3.1. All Material offered on the Site is sold FOR LABORATORY AND RESEARCH USE ONLY. THE MATERIAL IS NOT FOR HUMAN OR ANIMAL CONSUMPTION OF ANY KIND AND IS NOT A DRUG, FOOD, DIETARY SUPPLEMENT, MEDICAL DEVICE, OR COSMETIC.

3.2. The statements made on the Site have not been evaluated by the U.S. Food and Drug Administration (“FDA”). The Material, and any statements concerning it, are not intended to diagnose, treat, cure, or prevent any disease or medical condition. No information on the Site should be interpreted or construed as medical advice or guidance of any kind.

3.3. Prohibited uses of the Material include, without limitation, use: (a) for human or animal consumption, injection, application, or administration of any kind; (b) as or in a food, drug, dietary supplement, medical device, or cosmetic for humans or animals; (c) for diagnostic, therapeutic, or clinical applications; (d) for compounding under Sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act (the “FDCA”); (e) for performance enhancement, wellness, aesthetic, or cosmetic purposes; (f) for personal use of any kind; (g) for consumer resale or unauthorized marketplace resale; (h) for agricultural applications; (i) for educational demonstrations involving human or animal subjects; or (j) for any commercial purpose except as expressly permitted under Section 7. The foregoing list is illustrative, not exhaustive.

3.4. Buyer agrees that the Material will not be used for any purpose other than Research Purposes and that the Material is intended for, and will be handled exclusively by, Qualified Researchers.

4. Regulatory Status of Origin Eos

Origin Eos is a research-use-only (“RUO”) chemical supplier. Origin Eos is not a compounding pharmacy as described in Section 503A of the FDCA, is not an outsourcing facility as described in Section 503B of the FDCA, and is not a medical provider, pharmacy, or healthcare entity of any kind. Origin Eos does not compound drugs, does not dispense drugs pursuant to prescription, and does not manufacture, market, or sell the Material for use in the diagnosis, cure, mitigation, treatment, or prevention of disease. Unless expressly stated in product-specific documentation, no Origin Eos catalog product is offered as an FDA-approved drug, biologic, medical device, compounded medication, finished dosage form, consumer wellness product, or clinical-use product. All Material is labeled and marketed for research use only.

5. Eligibility, Account Registration, and Verification

5.1. Age and qualification. You must be at least twenty-one (21) years of age to access the Site, create an account, or purchase Material. By creating an account or placing an Order, you represent and warrant that you are at least twenty-one (21) years of age; that you are a Qualified Researcher or an authorized representative of a legitimate research organization, institution, or lawful laboratory operation; that all information you provide is accurate, complete, and current; and that, if you are ordering on behalf of an entity, you have authority to bind that entity to this Agreement.

5.2. Account application and approval. Origin Eos requires an approved research account before any Order may be placed. The Site’s catalog may be viewed without an account, but checkout is available only to a Buyer who is signed in to an account that Origin Eos has reviewed and approved. Guest checkout, account creation at checkout, express checkout, accelerated wallet checkout, and any one-click or bypass checkout path are not permitted. To apply, each Buyer must provide their full name, organization or institution (or “Independent”), purchaser category, and telephone number, and may provide a description of the research for which Material will be used. Origin Eos reviews each application individually. Submitting an application does not entitle a Buyer to approval, and Origin Eos may approve or decline any application in its sole discretion without giving reasons.

5.3. Verification and due diligence. Origin Eos may review institutional or laboratory affiliation, requester role, procurement context, shipping details, and supporting documentation before approving an account or releasing any Order, and may perform due diligence screening on any Order at any time. Origin Eos may require verification of qualification or affiliation prior to fulfillment. Buyer agrees to provide requested verification within five (5) business days of request; failure to do so shall result in cancellation of the affected Order and refund of the purchase price as Buyer’s sole remedy. Approval of an account is not a continuing warranty of eligibility; Origin Eos may request updated information at any time and may suspend or withdraw approval if the information provided becomes inaccurate, cannot be verified, or no longer satisfies Section 5.1.

5.4. Right to refuse. Origin Eos reserves the right, in its sole and absolute discretion, to decline any account application, to withdraw an account’s approval, and to limit, suspend, cancel, or terminate any account or Order — including after payment has been received — if it believes eligibility requirements are not met, information cannot be verified, information provided is false, incomplete, or misleading, or the account or Order does not fit Origin Eos’s research supply model. In the event of cancellation under this Section, Origin Eos’s sole obligation shall be to refund the purchase price paid.

5.5. Order attestation. Before each Order is placed, Buyer must separately confirm that: (a) Buyer is a Qualified Researcher, or an authorized representative of a research organization, purchasing the Material for laboratory research; (b) the Material will not be used in or on humans or animals, including for consumption, injection, application, diagnosis, or treatment; and (c) Buyer will not resell or transfer the Material to anyone for human or animal use. An Order cannot be placed without all three confirmations. Each confirmation is a representation and warranty under Section 9 and is made anew with every Order.

5.6. Records. Origin Eos records each account application and each Order attestation, including the date and time, the IP address and browser from which it was made, the account that made it, and the exact wording confirmed. Buyer agrees that these records are accurate evidence of Buyer’s application and confirmations and may be used to enforce this Agreement, to respond to payment disputes, and to respond to lawful requests from regulators, payment providers, and law enforcement.

6. Zero-Tolerance Misuse Policy; Refusal of Sale

6.1. No guidance. Origin Eos assumes that Buyer is fully familiar with the Material being purchased and does not provide dosing information, usage protocols, administration guidance, or personal-use recommendations of any kind. Any request for such information may be treated as evidence that Buyer is not a Qualified Researcher and may result in Order cancellation and/or account termination.

6.2. Refusal to sell; restricted list. Any communication or conduct by Buyer that leads Origin Eos to believe that Buyer uses or intends to use the Material for any purpose other than Research Purposes — including any of the prohibited uses in Section 3.3 — may result in immediate Order cancellation, account suspension or termination, and placement of Buyer’s information in Origin Eos’s internal restricted-customer database, against which all Orders are screened. Restrictions imposed under this Section may be permanent. Origin Eos will not, under any circumstances, tolerate misuse of the Site or the Material.

6.3. Order screening. Origin Eos may screen and reject Orders associated with pharmacies, med spas, weight-loss or wellness clinics, TRT or hormone clinics, gyms, dormitories, residential forwarding services, or other destinations or contexts inconsistent with lawful research use, in its sole discretion.

7. Permitted Use and Limited License

Subject to this Agreement, Origin Eos conveys to Buyer a limited, non-exclusive, non-transferable, revocable right to use the purchased quantity of Material solely to perform internal Research Purposes for the sole benefit of Buyer. No right to resell the Material or any of its components is conveyed expressly, by implication, or by estoppel. The Material is not for use in commercial applications of any kind, including, without limitation, quality control or commercial services such as reporting the results of Buyer’s activities for a fee or other consideration.

8. Restrictions on Use and Transfer

8.1. Buyer shall not, directly or indirectly: (a) use the Material for any purpose other than Research Purposes; (b) resell, repackage, relabel, or use the Material as a starting material or component of another product; (c) export or re-export the Material in violation of applicable law; (d) reverse engineer any Material; or (e) provide the Material to any third party except as permitted under Section 8.2.

8.2. If Buyer intends to sell, supply, repackage, relabel, use as a starting material or component, or otherwise provide the Material to any third party, Buyer shall first document the identity of the third party, provide that information to Origin Eos for verification, and obtain Origin Eos’s express written approval prior to any transfer.

8.3. Origin Eos reserves the right to limit the quantity of Material sold, or to decline to sell Material, to any customer it deems unqualified, in its sole discretion.

9. Buyer Representations and Warranties

Buyer represents and warrants to Origin Eos that:

9.1. From Buyer’s own independent review and study, Buyer is fully aware and knowledgeable about: (a) the health and safety hazards associated with handling the Material; (b) the industrial hygiene controls necessary to protect its workers and personnel from such hazards; (c) the need to adequately warn of the health and safety hazards associated with the Material; and (d) the government regulations regarding the use of, and exposure to, the Material.

9.2. Buyer will properly test and use any Material purchased from Origin Eos, and any materials produced with such Material, in accordance with the practices of a reasonable person who is an expert in the relevant scientific field and in strict compliance with all applicable federal, state, local, and international laws and regulations, now existing or hereafter enacted.

9.3. The Material will be handled only by Qualified Researchers and other qualified and trained individuals in an appropriate laboratory environment with the necessary knowledge, training, equipment, and facilities.

9.4. Buyer is solely responsible for determining whether any Material is appropriate for Buyer’s institution, jurisdiction, research protocol, import requirements, and internal approvals. Product descriptions, certificates, and scientific references do not substitute for Buyer’s own regulatory, safety, legal, and institutional review.

10. Regulatory Compliance by Buyer

10.1. Buyer warrants that any materials it produces with Material from Origin Eos will not be adulterated or misbranded within the meaning of the FDCA and will not be articles that may not, under Sections 404, 505, or 512 of the FDCA, be introduced into interstate commerce.

10.2. Buyer acknowledges that, because the Material is intended primarily for Research Purposes, it may not appear on the Toxic Substances Control Act (“TSCA”) inventory. Buyer assumes full responsibility for assuring that the Material is approved for use under TSCA, if and to the extent applicable, and that any use outside the scope of the TSCA research-and-development exemption is separately authorized.

10.3. Buyer is solely responsible for compliance with all export-control laws and regulations and shall not export or re-export the Material in violation of such laws. Buyer acknowledges that misuse of RUO products may result in civil and criminal liability under applicable law.

11. Hazard Acknowledgment and Duty to Warn

Buyer acknowledges that there are hazards associated with the handling and use of the Material. Buyer has the responsibility to verify the hazards and to conduct any research necessary to learn the hazards involved in using the Material. Buyer has the duty to warn Buyer’s own personnel and any auxiliary personnel (such as freight handlers) of any risks involved in using or handling the Material. Buyer agrees to comply with any instructions furnished by Origin Eos relating to the Material and not to misuse the Material in any manner.

12. DISCLAIMER OF WARRANTIES

12.1. THE MATERIAL AND THE SITE ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.” ORIGIN EOS HAS NOT TESTED THE MATERIAL FOR SAFETY OR EFFICACY IN FOOD, DRUG, MEDICAL DEVICE, COSMETIC, COMMERCIAL, OR ANY OTHER USE.

12.2. TO THE FULLEST EXTENT PERMITTED BY LAW, ORIGIN EOS MAKES NO WARRANTIES OF ANY KIND WITH RESPECT TO THE MATERIAL OR THE SITE, WHETHER EXPRESS OR IMPLIED, AND SPECIFICALLY DISCLAIMS ANY (A) WARRANTY OF MERCHANTABILITY OR MERCHANTABLE QUALITY; (B) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; (C) WARRANTY OF DURABILITY OR TITLE; AND (D) WARRANTY AGAINST INFRINGEMENT OF THE INTELLECTUAL PROPERTY RIGHTS OF ANY THIRD PARTY, WHETHER ARISING BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE.

12.3. No guarantee of results. Origin Eos makes no representation regarding experimental outcomes, product performance in specific applications, or batch-to-batch consistency beyond published specifications. Where applicable, Origin Eos may publish batch-specific certificates of analysis and technical specifications for research reference; such documentation describes Origin Eos’s testing and release information for the applicable product or lot and does not constitute a warranty.

12.4. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

13. LIMITATION OF LIABILITY

13.1. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ORIGIN EOS OR ANY OF ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUES, BUSINESS INTERRUPTION, OR DIMINUTION IN VALUE, ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SITE, OR THE MATERIAL — INCLUDING THE USE, MISUSE, HANDLING, OR STORAGE OF THE MATERIAL — WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND REGARDLESS OF WHETHER ORIGIN EOS WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR SUCH DAMAGES WERE FORESEEABLE.

13.2. ORIGIN EOS’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SITE, OR ANY MATERIAL SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY BUYER FOR THE MATERIAL GIVING RISE TO THE CLAIM.

13.3. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by gross negligence or willful misconduct.

14. Indemnification

In consideration of the sale of the Material to Buyer, which sale Origin Eos would not otherwise make, Buyer agrees to indemnify, defend, and hold harmless Origin Eos and its Affiliates from and against any and all claims, demands, actions, suits, proceedings, investigations, losses, damages, fines, penalties, liabilities, costs, and expenses (including reasonable attorneys’ fees) of any nature whatsoever, arising out of or relating to: (a) Buyer’s handling, storage, testing, use, misuse, or disposal of any Material, whether used alone or in combination with any other substance, and regardless of the Material’s origin; (b) Buyer’s use of the Material for any prohibited purpose, including human or animal consumption; (c) Buyer’s breach of this Agreement or of any representation or warranty herein; (d) Buyer’s violation of any applicable law or regulation, including the FDCA, TSCA, and export-control laws; (e) any regulatory action arising from Buyer’s activities; (f) Buyer’s sale, supply, or transfer of the Material to any third party; and (g) any action taken by a third party resulting from Buyer’s actions or omissions.

15. Intellectual Property; No Patent License

15.1. Origin Eos does not warrant that the use or sale of the Material will not infringe the claims of any United States or foreign patent covering the Material itself or its use in combination with other material or in the operation of any process. The listing of any Material on the Site does not constitute a license to, or a recommendation for, its use in infringement of any patent.

15.2. No license under any patent, trademark, copyright, or other intellectual property right of Origin Eos is granted or implied by the sale of Material, except the limited right of use expressly set forth in Section 7. As between the parties, Buyer owns the research data and results it lawfully generates through its own permitted use of the Material.

16. Governing Law

This Agreement, and any dispute arising out of or relating to it, the Site, or the Material, shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17. Dispute Resolution; Arbitration; Class Action Waiver

17.1. Informal resolution first. Before commencing any formal proceeding, each party agrees to attempt in good faith to resolve any dispute arising out of or relating to this Agreement by written notice to the other party and informal negotiation for thirty (30) days.

17.2. Binding arbitration. Except as provided in Sections 17.4 and 17.5, any dispute, claim, or controversy arising out of or relating to this Agreement, the Site, or the Material that is not resolved informally shall be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules then in effect. The arbitration shall be conducted in Bernalillo County, New Mexico (or remotely by agreement), before a single arbitrator, and judgment on the award may be entered in any court of competent jurisdiction.

17.3. CLASS ACTION WAIVER. ALL DISPUTES SHALL BE ARBITRATED OR LITIGATED ONLY ON AN INDIVIDUAL BASIS. BUYER WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION AGAINST ORIGIN EOS. The arbitrator may not consolidate more than one person’s claims or preside over any form of representative or class proceeding.

17.4. Carve-outs. Either party may bring an individual claim in small-claims court, and Origin Eos may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information or to enforce payment obligations, without posting a bond.

17.5. Venue for non-arbitrable matters. Any action not subject to arbitration shall be brought exclusively in the state or federal courts located in Bernalillo County, New Mexico, and each party consents to the personal jurisdiction of those courts.

17.6. Fees. In any arbitration or action arising out of or relating to this Agreement, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs, to the extent permitted by applicable law.

17.7. Consumer reviews. Nothing in this Agreement restricts, prohibits, or penalizes any lawful review, feedback, or assessment by Buyer of Origin Eos or the Material. Origin Eos reserves only those rights preserved by law, including the right to remove content that is unlawful, defamatory, or clearly false or misleading and to pursue any available cause of action for defamation.

18. General Provisions

18.1. Entire Agreement. This Agreement, together with any order confirmation and the Privacy Policy (incorporated herein by reference), constitutes the sole and entire agreement between the parties with respect to its subject matter and supersedes all prior understandings, agreements, representations, and warranties, written or oral. Origin Eos expressly rejects any conflicting or additional terms in Buyer’s purchase orders, invoices, or other documents, and any such terms are void and of no effect, regardless of whether Origin Eos signs them.

18.2. Amendment; No Waiver. No modification of this Agreement between the parties is effective unless made in writing and signed by an authorized representative of Origin Eos, except that Origin Eos may update these posted terms as provided in Section 1. No failure or delay by Origin Eos in exercising any right operates as a waiver, and no single or partial exercise of any right precludes further exercise.

18.3. Severability. If any provision of this Agreement is held invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that provision shall be reformed or limited to the minimum extent necessary to make it valid and enforceable while preserving its intent, or severed if reformation is not possible, and the remaining provisions shall remain in full force and effect.

18.4. Assignment; Successors. Buyer may not assign this Agreement without Origin Eos’s prior written consent. This Agreement binds and inures to the benefit of the parties and their permitted successors and assigns.

18.5. Force Majeure. Origin Eos is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, supplier failures, supply shortages, carrier and transportation delays, customs delays, lost shipments, governmental action, or failures of third-party service providers. If a force majeure event continues for more than ninety (90) days, either party may terminate the affected Order without further liability.

18.6. Notices. Notices to Origin EOS must be sent to [email protected] or to Origin Eos LLC, 1209 Mountain Road Place NE, STE R, Albuquerque, NM 87110. Notices to Buyer may be sent to the email or postal address associated with Buyer’s account or Order.

18.7. Relationship of the Parties. The parties are independent contractors. Nothing in this Agreement creates any partnership, joint venture, agency, or employment relationship, or any contract for research or product development, or any transfer, license, or purchase of technology, other than as expressly stated herein.

18.8. Headings. Headings are for convenience only and do not affect interpretation.

PART II — WEBSITE TERMS AND STORE POLICIES

19. Site Content; Copyright and Trademark Notice

Unless otherwise specified, all materials appearing on the Site — including text, site design, logos, graphics, icons, images, product descriptions, and technical documentation, as well as the selection, assembly, and arrangement thereof — are the sole property of Origin Eos, Copyright ©, All Rights Reserved. You may display, download, or print materials from the Site solely for the purpose of shopping on the Site, placing an Order, or internal non-commercial research reference, provided you do not modify the content or remove any proprietary notice. No materials from the Site may otherwise be copied, reproduced, modified, republished, uploaded, posted, transmitted, distributed, scraped, or harvested (including by bots or automated tools) without our prior written permission. All trademarks, logos, and brand names displayed on the Site remain the property of their respective owners. Website content may be updated, corrected, or removed at any time without notice, and Origin Eos shall have no liability for inaccuracies or typographical errors. Buyer should confirm product specifications, availability, shipping requirements, and documentation with Origin Eos before ordering.

20. Order Acceptance Policy

Prices and listings on the Site are invitations to conduct business, not binding offers. Your Order is an offer to buy. Receipt of an electronic or other order confirmation does not signify our acceptance of your Order; any confirmation email serves only to confirm our receipt of it. All Orders are subject to our acceptance, and a contract is formed only upon our acceptance — which may be evidenced by shipment or express written confirmation. We may, at any time after receipt of your Order, accept or decline your Order for any reason, or supply less than the quantity ordered, in our sole discretion.

21. Pricing and Typographical Errors

All prices are in USD unless otherwise specified, exclude taxes, duties, and shipping charges, and are subject to change without notice. The price charged is the price advertised on the Site at the time the Order is placed. If a product is listed at an incorrect price due to typographical or pricing-information error, Origin Eos may refuse or cancel any Order placed at the incorrect price, whether or not the Order has been confirmed and your payment method charged; if charged, Origin Eos will issue a refund of the amount charged.

22. Payment

We accept the payment methods identified at checkout, which may include major credit cards, ACH/wire transfer, and cryptocurrency through compliant providers. You must provide current, complete, and accurate purchase, billing, and contact information, and you represent and warrant that you are authorized to use the payment method provided. Incorrect information may delay processing. Purchases will appear on your statement under the descriptor disclosed at checkout. A card-processing fee may be added to your Order and will be disclosed at checkout. Late payments on invoiced accounts accrue interest at 1.5% per month (18% per annum) or the maximum rate permitted by applicable law, whichever is lower.

23. Chargeback Policy

Buyer agrees to contact [email protected] in writing and allow Origin Eos thirty (30) days to investigate and attempt to resolve any billing or product dispute in good faith before initiating a chargeback or payment reversal. Initiating a chargeback without first following this process, or initiating a chargeback based on false or misleading statements to a card issuer, constitutes a material breach of this Agreement. In such cases, Origin Eos reserves the right to: (a) immediately suspend or terminate Buyer’s account; (b) submit transaction records, the account application and Order attestation records described in Section 5.6, and this Agreement as chargeback rebuttal evidence; (c) pursue recovery of the disputed amount, reversal fees, and collection costs, including reasonable attorneys’ fees; and (d) refuse future sales to Buyer. Buyers who have initiated a chargeback are ineligible for refunds or replacements under Section 26 with respect to the disputed Order.

24. Shipping and Delivery

24.1. Orders received before 3 p.m. Eastern are typically dispatched the same business day, provided the product is in stock. Orders are not processed or shipped on weekends or holidays, except by prior arrangement. Dispatch and transit times are estimates only; we cannot guarantee arrival dates and are not liable for shipping delays.

24.2. Shipping is limited to destinations available at checkout. We use the carriers identified at checkout and may refuse shipment to high-risk addresses, freight forwarders, or destinations inconsistent with Section 6.3. An adult signature confirming age 21+ may be required on first orders or at Origin Eos’s discretion.

24.3. Unless otherwise specified in the order confirmation, Buyer pays all shipping and handling charges, and title and risk of loss pass to Buyer upon our transfer of the products to the carrier. Origin Eos is not liable for delays, losses, or costs associated with reshipments resulting from incorrect or incomplete addresses provided by Buyer, though we will make reasonable efforts to flag apparent address issues prior to shipment.

24.4. Out-of-stock and backorders. If a product is out of stock, fulfillment may be delayed, and we will keep you informed. You may cancel an Order at any time before fulfillment; once an Order has been packed and entered fulfillment, it can no longer be cancelled, whether or not the carrier has picked it up or issued tracking.

25. Inspection Requirements

Buyer must inspect all shipments immediately upon receipt and report any damage, defect, shortage, or discrepancy in writing to [email protected] within seven (7) calendar days of the carrier marking the parcel delivered, with notice deemed given upon sending. Claims must include photographic evidence showing the product and the original shipping packaging with the shipping label in view, and, where applicable and reasonably available, supporting analytical data. Failure to report within this period constitutes acceptance of the shipment.

26. Returns, Refunds, and Limited Remedy

26.1. All sales final. Due to the nature of research materials and associated safety, integrity, and contamination risks, all sales are final. Returns and exchanges are not accepted, and no product may be returned without prior written authorization from Origin Eos customer service.

26.2. Limited remedy for verified defects. For claims of defective, broken, incorrect, or missing product properly reported under Section 25 and verified by Origin Eos, Origin Eos will, at its discretion, provide: (a) a replacement with conforming product (shipped with complimentary standard or express shipping); (b) store credit; or (c) a refund of the purchase price of the affected product to the original payment method. Allow three to five (3–5) business days for claim assessment from notification.

26.3. Third-party analytical claims. If independent third-party laboratory analysis of an unopened, as-shipped product demonstrates a material nonconformity with the published certificate of analysis (including identity failure or purity below the stated specification), and the results — including images of the tested vial and lot, the testing method used, and the full report — are provided to Origin Eos within thirty (30) days of delivery, Origin Eos will refund the purchase price of the affected product and reimburse the reasonable, documented cost of the analysis.

26.4. This Section states Buyer’s sole and exclusive remedy, and Origin Eos’s sole obligation, for any nonconforming, defective, or damaged Material.

27. Taxes

Buyer is responsible for all applicable taxes and duties. We will automatically charge and withhold applicable sales tax on Orders delivered to jurisdictions where Origin Eos is required to collect tax; for all other Orders, Buyer is solely responsible for any taxes that may apply.

28. SMS / Text Message Terms

28.1. Program. By opting in to receive SMS messages from Origin Eos — for example, by checking the SMS consent box or providing your mobile number for that purpose — you provide your prior express written consent to receive recurring automated text messages from Origin Eos at the number provided, sent using automated technology. Message categories will be described at opt-in and may include account verification, order confirmations, shipping and delivery updates, customer-service replies, and (only where separately and expressly consented) marketing messages. Origin Eos does not use SMS to provide dosing advice, protocol guidance, or personal-use product recommendations.

28.2. Not a condition of purchase. Consent to receive marketing text messages is not a condition of purchasing any goods or services.

28.3. Rates and frequency. Message and data rates may apply. Message frequency varies.

28.4. Opt-out and help. Reply STOP (or “unsubscribe,” “cancel,” “end,” “quit,” “opt out,” or “revoke”) to any message to revoke consent; opt-outs will be honored promptly and in any event within ten (10) business days. No exclusive opt-out method is designated. Reply HELP for help or contact [email protected].

28.5. Delivery. Messages may be sent from a dedicated toll-free or short-code number. Origin Eos and the wireless carriers are not liable for delayed or undelivered messages. SMS data is handled in accordance with our Privacy Policy and is not sold or shared with third parties for their marketing purposes.

29. Privacy

We collect and use personal information — including name, email address, payment information, address, phone number, verification documentation, and account credentials — to verify eligibility, process and fulfill Orders, communicate about purchases, screen for compliance, and operate our business. We take reasonable measures to keep this information secure. Depending on your state of residence, you may have rights to access, correct, or delete your personal information or opt out of certain data practices. Our full practices are described in our Privacy Policy, which is incorporated into this Agreement by reference.

30. Third-Party Links; Platform

The Site may contain links to third-party websites that Origin Eos does not own or operate; Origin Eos is not responsible for their operation, content, or privacy practices. The online store is powered by third-party e-commerce infrastructure, which provides the means to operate the store but is in no way responsible for the activities or content within it.

31. Site Availability

We do not guarantee that use of the Site will be uninterrupted, timely, secure, or error-free, and we may modify, suspend, or remove the Site or any product at any time without notice and without liability. Your use of, or inability to use, the Site is at your sole risk.

32. Order of Precedence

To the extent Part I and Part II conflict, Part I controls with respect to the sale and use of the Material.

ACKNOWLEDGMENT
